Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and Thrones AI Limited ("Thrones", "we", "us") and govern access to thrones.ai and the use of our platform at panel.thrones.ai (the "Service"). By creating an account or otherwise using the Service, you confirm acceptance of these Terms. If you do not accept them, do not use the Service.

The English version of this document is the legally binding version. In case of any discrepancy between translations, the English text prevails.

1. The Service

Thrones provides a B2B SaaS platform that enables businesses ("Customer", "you") to build and operate AI agents across channels including messengers, a web widget and voice calls. The available functionality depends on the plan you select. We may add, modify or remove functionality as the Service evolves.

2. Eligibility

You must be at least 18 and have full legal capacity to enter into contracts. If you accept these Terms on behalf of a legal entity, you represent that you are authorised to bind it; the terms "Customer" and "you" will then refer to that entity.

3. Account registration and security

To use the Service you register an account at panel.thrones.ai and provide accurate, current and complete information. You are responsible for keeping your information up to date, for the confidentiality of your credentials and for all activity in your account. Notify us promptly at support@thrones.ai if you suspect any unauthorised use.

4. Trial, plans and billing

The Service is offered in several plans: Trial, Start, Pro and Expert. Current prices and message limits are published on thrones.ai and shown in the panel at the time of subscription.

A. How the Trial works

The Trial provides a limited allowance (currently 50 messages) for up to 30 days. The Trial ends when the message allowance is exhausted or upon expiry of the 30-day period, whichever occurs first. To activate the Trial a valid payment method must be attached, handled directly by Stripe.

At checkout in Stripe Checkout you are clearly informed that — unless you cancel before the Trial ends — your payment method will be charged the first-month price of the Start plan at the then-current rate at the end of the Trial, and the subscription will continue on a monthly renewing basis. By completing Stripe Checkout you authorise this charge. Unused Trial messages do not carry over to paid plans.

The Trial can be cancelled at any time from the panel. If you cancel before the Trial ends, no charge is made.

B. Paid plans, message limits and renewals

Paid plans include a monthly message allowance. If the allowance is exhausted before the end of the billing month, the Service stops processing new messages until (a) auto-renewal triggers and a new billing month begins, (b) you renew your current plan manually (which starts a new 30-day cycle), or (c) you upgrade. Existing conversation data is preserved during such pauses.

With auto-renewal enabled (the default), payment is charged on the renewal date. Auto-renewal can be disabled from the panel; if disabled and you do not renew manually, access is paused until renewal or upgrade.

A paid plan may be cancelled at any time. Cancellation takes effect at the end of the current billing period.

C. Payment methods

We accept card payments via Stripe. For customers who choose this option, we also accept payments via Monobank, processed by our Ukrainian payment partner. A subscription may be opened under one method and renewed under another. Regardless of payment method, Thrones AI Limited remains the contracting party and the controller of account owner data.

D. Taxes

Prices are exclusive of VAT and other applicable taxes unless expressly stated otherwise. Applicable taxes are added to the invoice where required by law.

E. Price changes

We may change plan prices. Price changes affecting existing paid subscriptions will be communicated at least 30 days before they take effect. If you do not accept a price change, you may cancel the subscription before the effective date.

5. No refunds

Save for mandatory rights afforded to you by applicable law, all sums paid are non-refundable. We do not provide pro-rated refunds for unused message allowance, unused days of the billing period, account suspensions caused by you, or plan changes you initiate.

We provide a free Trial so that you can evaluate the Service before taking out a paid subscription. By using the Service during the Trial and moving to a paid plan, you acknowledge that any right of withdrawal under consumer law (if applicable to you as a consumer) has been exercised and exhausted through the Trial to the maximum extent permitted by law.

6. Your obligations as a Customer

You are solely responsible for your use of the Service, including the content, configuration and behaviour of the AI agents you create, the prompts and instructions you provide, the data you upload, the third-party services you connect, and the way you interact with your end users.

A. Your role under data protection law

When you use the Service to communicate with your end users, you are the controller of the relevant personal data. Thrones is a processor that processes data on your instructions. The terms of such processing are set out in our Data Processing Agreement, which is part of these Terms. You must have a legal basis, provide your end users with an accurate privacy policy, handle data subject rights requests and, where applicable, keep the required records of processing.

B. Third-party platforms and official APIs

When connecting third-party platforms (WhatsApp via the Meta Business API, Telegram, Google Sheets and Calendar, Twilio and others) you must comply with their terms and policies. In particular, for WhatsApp you connect your WhatsApp Business Account to the Service via our Thrones for WhatsApp app and remain responsible for that account.

C. Your end users

Your end users are not a party to these Terms; Thrones owes no direct obligations to them under these Terms. End-user requests regarding personal data should be directed to you as controller; see our Data Processing Agreement and Privacy Policy.

7. Acceptable use

You must use the Service lawfully and in good faith. Without limiting the generality of the foregoing, you will not (and will not allow others to):

  • Use the Service to send spam or unsolicited messages in breach of applicable law or third-party platform rules.
  • Use the Service for fraud, phishing, harassment, hate speech, sexual exploitation, threats, impersonation of others, or other unlawful or abusive conduct.
  • Use the Service to communicate with minors in a manner inconsistent with applicable child protection law, including parental consent requirements.
  • Use the Service to provide regulated services (medical, legal, financial, psychological and similar) without appropriate professional oversight, qualifications and disclaimers. Your AI agents must not hold themselves out as licensed professionals unless you are so licensed and use complies with law.
  • Infringe intellectual property, publicity or privacy rights.
  • Attempt to access or probe vulnerabilities in the Service, sub-processors, or other customers without permission; circumvent security measures; reverse-engineer the Service; use the Service to develop a competing product.
  • Upload malware, attempt to exhaust or destabilise the Service, perform automated bulk actions exceeding published limits, or otherwise interfere with the Service.
  • Use the Service in connection with sanctioned persons or jurisdictions where prohibited by UK or applicable law.

We may update the detailed Acceptable Use Policy; the version in force at the time you use the Service applies.

8. AI outputs: no guarantees, your responsibility

The Service uses third-party AI models (including, without limitation, OpenAI models) to generate responses. Such AI models may produce outputs that are inaccurate, incomplete, offensive, biased, out of date or otherwise unsuitable for your purpose — a phenomenon commonly known as "hallucinations". Thrones configures the Service with safeguards such as system prompts, but cannot and does not guarantee the accuracy, reliability or fitness of AI outputs for any particular purpose.

You are solely responsible for: (i) evaluating the fitness of AI outputs for your use case, (ii) ensuring appropriate human oversight where consequences are material, (iii) informing your end users that they are interacting with an AI system and that its outputs may be incorrect, and (iv) implementing appropriate measures in regulated contexts. You must not rely on the Service as a substitute for professional judgement.

To the maximum extent permitted by law, Thrones is not liable for AI outputs, including any reliance placed on them by you or your end users.

9. Changes to the Service, availability and support

We provide the Service "as is", on a best-efforts basis, with no specific uptime commitments. We do not guarantee uninterrupted, error-free or continuous availability of the Service. Availability may be temporarily affected by planned maintenance, third-party platform outages (Meta, OpenAI, Twilio, Google and others), force majeure and other events.

We may add, remove or change Service functionality. Where functionality on a plan is materially reduced, we will, where possible, notify account owners in advance.

Support is provided through the channels published on thrones.ai, in the format and on the schedule described there.

10. Suspension and termination

We may suspend or terminate your access to the Service — in whole or in part, with or without prior notice — if (a) you breach these Terms or the Acceptable Use Policy, (b) your use creates a risk of harm to end users, third parties or the Service, (c) it is required by law or by a third-party platform (for example Meta, Twilio, Stripe), (d) your payment method is declined and the issue is not resolved, or (e) we receive a substantiated complaint requiring investigation.

If a serious breach is confirmed, we may pass information to law enforcement or regulators and cooperate with their investigations in accordance with law.

You may cancel your subscription at any time from the panel. For full account deletion, write to privacy@thrones.ai; the procedure is set out in the Privacy Policy.

On termination or expiry, Customer Content is deleted or returned in accordance with our Data Processing Agreement — by default deleted within 90 days — unless retention is required by applicable law. The Data Processing Agreement forms part of these Terms and governs our processing of personal data on your behalf as a processor.

11. Intellectual property

Thrones and its licensors own the Service, including the platform, software, documentation and the "Thrones" and "Thrones.Ai" trade marks. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service in accordance with these Terms and your subscription.

You retain ownership of the content you upload to the Service and of the configurations, system prompts, knowledge bases and datasets you create ("Customer Content"). You grant Thrones a worldwide, non-exclusive, royalty-free licence to host, transmit and process Customer Content solely to the extent necessary to provide the Service and comply with law.

Aggregated de-identified data derived from use of the Service, in a form that does not reasonably identify any individual or customer, may be used by Thrones to operate, protect and improve the Service and its system prompts.

12. Feedback

If you provide us with feedback, suggestions or ideas, you grant us a perpetual, worldwide, royalty-free, sublicensable, irrevocable licence to use them without restriction or compensation.

13. Warranties and disclaimer

To the maximum extent permitted by law, the Service is provided "as is" and "as available". Thrones disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, and warranties that the Service will meet your requirements or operate uninterrupted, securely or error-free. These Terms do not limit warranties that cannot be excluded under applicable law.

14. Limitation of liability

To the maximum extent permitted by law, Thrones, its officers, directors, employees and agents will not be liable for indirect, incidental, special, consequential, punitive or exemplary losses, lost profits, revenue, goodwill, anticipated savings, loss of data or cost of substitute services arising out of or in connection with the use of the Service, even if we were advised of the possibility of such losses.

Thrones' total aggregate liability to you for all claims arising out of or in connection with these Terms or the Service, whether in contract, tort (including negligence) or otherwise, is limited to the amount of fees paid to us in the twelve (12) months immediately preceding the event giving rise to the liability.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

15. Indemnity

You will defend, indemnify and hold Thrones harmless against claims, damages, losses, liabilities and expenses (including reasonable legal fees) arising out of or relating to (a) your breach of these Terms, (b) content or configuration you provide to the Service, (c) use of the Service in breach of law or third-party platform rules, and (d) your relationship with your end users, including their claims.

16. Confidentiality

Each party will protect the other's confidential information with no less care than it uses for its own information of a similar nature and will use it solely for the purposes of these Terms. This obligation does not apply to information that is public, becomes public other than by the recipient's fault, is independently developed, or must be disclosed by law.

17. Changes to these Terms

We may update these Terms. For material changes, we update the "Last updated" date and notify account owners by email or in the panel at least 30 days before they take effect (or within a shorter period where required by law or for security reasons). Continued use of the Service after the changes take effect constitutes acceptance. If you do not agree, you must stop using the Service before the effective date.

18. Governing law and jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them, are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction to hear such disputes, subject to any mandatory rights you may have under applicable law to bring proceedings in your place of residence.

19. Miscellaneous

These Terms, together with our Privacy Policy, Cookie Policy, Data Processing Agreement and any order forms, constitute the entire agreement between you and Thrones in respect of the Service and supersede any previous understanding. If any provision is unenforceable, the remaining provisions remain in force. Our failure to enforce any right is not a waiver of it. You may not assign these Terms without our prior written consent; we may assign them in connection with a reorganisation, merger or sale of assets. These Terms do not create any agency, partnership, joint venture or employment relationship.
